These Terms and Conditions (the "Terms") govern your access to and use of the website at logicpointsolutions.com (the "Site") and the technology procurement, configuration, deployment, and lifecycle services (the "Services") provided by Logic Point Solutions ("Logic Point Solutions", "we", "us", or "our"). By accessing the Site, requesting a quote, or placing an order, you agree to these Terms. If you do not agree, please do not use the Site or the Services.

01 Definitions

"Products" means the hardware, software, licenses, subscriptions, and related equipment we source and supply. "Quote" means a written estimate of Products, Services, quantities, and pricing prepared for you. "Order" means your authorized purchase of Products or Services based on a Quote or other written agreement. "Manufacturer" means the original equipment manufacturer or software publisher of a Product.

02 Services and quotes

We provide vendor-neutral guidance and supply Products together with configuration, deployment, and lifecycle support. Quotes are provided for your convenience and are valid for the period stated on the Quote, or for thirty (30) days where no period is stated. Quotes are subject to change based on Manufacturer pricing, availability, currency fluctuations, and lead times until an Order is accepted by us in writing.

03 Orders and acceptance

An Order is not binding until we confirm acceptance in writing. We may decline or cancel any Order, including for reasons of Product availability, pricing errors, credit, or suspected fraud. Where a Product is unavailable, we may propose a comparable substitute for your approval. You are responsible for verifying that the Products and specifications in a Quote or Order meet your requirements before acceptance.

04 Pricing and payment

Prices are stated in U.S. dollars and, unless otherwise noted, exclude taxes, duties, shipping, and handling, which are your responsibility. Payment terms are as stated on the applicable Quote, invoice, or separate written agreement. Late payments may be subject to interest and to suspension of open Orders. Manufacturer pricing and program terms may apply to certain software, licenses, and subscriptions.

05 Shipping and delivery

Delivery dates are estimates and are not guaranteed. Risk of loss passes to you upon delivery to the carrier unless otherwise agreed in writing. We are not liable for delays caused by Manufacturers, carriers, supply constraints, or other events beyond our reasonable control. Where we provide staging or deployment, delivery milestones will be described in the applicable Quote or statement of work.

06 Returns and cancellations

Returns and cancellations are subject to Manufacturer policies and may be limited or non-returnable for opened software, licenses, subscriptions, special-order, or custom-configured Products. Restocking fees may apply. Please contact us before returning any Product so we can confirm eligibility and provide return instructions.

07 Warranties

Products are covered by the applicable Manufacturer's warranty, and we pass through those warranties to you to the extent permitted. Except as expressly stated in a written agreement, we do not provide independent product warranties. We warrant that our Services will be performed in a professional and workmanlike manner.

08 Acceptable use of the Site

You agree not to:

• Use the Site in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Site or related systems;
• Interfere with or disrupt the operation of the Site;
• Introduce malware or other harmful code; or
• Copy, scrape, or misuse content except as permitted by these Terms.

09 Intellectual property

The Site and its content, including text, graphics, logos, and the Logic Point Solutions name and marks, are owned by us or our licensors and are protected by intellectual property laws. You may not use our marks without prior written permission. Manufacturer names and marks are the property of their respective owners and are used for identification only.

10 Disclaimers

The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except to the extent these cannot be excluded under applicable law. We do not warrant that the Site will be uninterrupted, secure, or error-free.

11 Limitation of liability

To the fullest extent permitted by law, Logic Point Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising out of or related to the Site or Services. Our total liability for any claim will not exceed the amount you paid to us for the Products or Services giving rise to the claim.

12 Indemnification

You agree to indemnify and hold harmless Logic Point Solutions and its officers, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Site or Services, your Orders, or your violation of these Terms.

13 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The exclusive venue for any dispute will be the state and federal courts located in New Castle County, Delaware.

14 Changes to these Terms

We may update these Terms from time to time. Changes are effective when posted to this page with an updated "Last updated" date. Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
